Bruno Cerqueira

Bruno was lead counsel in the first issue of agribusiness receivables certificates registered with the Brazilian Securities Commission. He was also one of the lawyers involved in Burger King’s issue of agribusiness receivables certificates and Cyrela’s issue of real estate receivables certificates, which set precedents used by the market to this date. Bruno frequently authors scholarly works on agribusiness.

• Advised on the 52th Issuance of Opea Securitizadora S.A.’s of Real Estate Receivables Certificates (CRI) backed by real estate credits owed by Refrigeração Dufrio Comércio e Importação S.A. The total amount of the issuance was BRL100 million, with the coordination of Banco BTG Pactual S.A. (2022).
• Advised XP Investimentos as Lead Coordinator of Fundo de Investimento nas Cadeias Produtivas Agroindustriais Riza Agro – Fiagro – Imobiliário on its second public offering of quotes, under the terms of CVM Rule No. 400, totaling BRL360 million (2022).
• Advised the underwriters on Movida Locação de Veículos’ 8th and Movida Participações’ 9th issuance of debentures, with each totaling BRL1 billion (2022).
• Advised, as deal counsel, in the structuring of the 3rd issuance of debentures by Simpar S.A., in the amount of BRL1,5 billion, with the financial coordination of Banco BTG Pactual S.A. (2021).
• Advised Tereos on its 5th issuance of debentures, totaling BRL480 million. The issuance was structured in a single series of infrastructure debentures (2021).
• Advised Cyrela Brazil Realty S.A. Empreendimentos e Participações on the issuance of Real Estate Receivables Certificates (CRI), coordinated by Banco Itaú BBA, Banco do Brasil, Banco Safra, Banco Bradesco BBI and XP Investimentos, in the amount of BRL602 million (2019).
• Advised Banco Itaú BBA and Banco Santander on the 13th issue of simple, non-convertible, unsecured debentures, in three series, with additional personal guarantee given by Companhia de Locação das Américas, in the amount of BRL1 billion (2019).
• Advised Tereos Açúcar e Energia Brasil S.A. on the issuance of Agribusiness Receivables Certificate (CRA) in the amount of BRL300 million (2019).
• Advised Banco Bradesco BBI S.A., Banco J. Safra S.A. and Banco BNP Paribas Brasil S.A. on the public offering of Agribusiness Receivables Certificate (CRA) backed by debentures of Grupo Pão de Açúcar, in a sum equivalent to BRL800 million (2018).
• Advised Cyrela Brazil Realty S.A. Empreendimentos e Participações on the issuance of Real Estate Receivables Certificates (CRI), coordinated by XP Investimentos, in the amount of BRL300 million (2018).
• Advised Localiza Rent a Car S.A. on the issuance of Real Estate Receivables Certificates (CRI), coordinated by Banco Itau BBA and XP Investimentos, in the amount of BRL400 million (2018).
• Advised Norsa Refrigerantes S.A. on the public offering of Agribusiness Receivables Certificate (CRA) , coordinated by Banco Bradesco BBI and Banco Itaú BBA, in a sum equivalent to BRL657 million (2018).
• Advised XP Investimentos on establishment of the real estate investment fund XP Industrial Fundo de Investimento Imobiliário and in its first public offering in the amount of BRL125 million (2018).
• Advised Tereos Açúcar e Energia Brasil S.A. on the issuance of Agribusiness Receivables Certificate (CRA) in the amount of BRL392 million (2018).
• Advised XP Investimentos on establishment of the real estate investment fund XP Malls Fundo de Investimento Imobiliário and in its first public offering in the amount of BRL375 million (2017).

• Advised Banco BTG Pactual on an agribusiness securitization transaction regarding its commodities segment in an amount exceeding BRL800 million (2015).
