Tauil & Chequer Advogados advises BTG Pactual on R$ 560 million investment in Grupo Vita and Grupo H. Hemo Hemoterapia
Tauil & Chequer Advogados in association with Mayer Brown advised BTG Pactual on its investment in Vita Participações S.A. (Grupo Vita) and H. Hemo - Hemoterapia Brasil S.A. (Grupo H. Hemo), totaling R$ 560 million. This transaction resulted in the formation of Grupo Pulsa, the largest network of blood banks in Latin America, operating across 18 Brazilian states and over 100 cities, at the forefront of blood bank and cell therapy technologies, contributing significantly to advancements in the life sciences sector in Brazil.
In addition to advising on the drafting and negotiation of the transaction documents, the firm carried out the legal due diligence on the companies of Grupo Vita and Grupo H. Hemo, including regulatory aspects, and coordinated the filing of the transaction with the Administrative Council for Economic Defense (CADE).
The team was led by partner Bruno Salzano and associate Maurício Veiga (Corporate and M&A), and included partners Eduardo Lima (Banking & Finance) and Adriana Giannini (Antitrust and Competition), counsel Anna Gouvea (Banking & Finance), as well as associates Felipe Pereira, Luciano Campos, Bruno Ribeiro, Camila Spinola and José Muricy.
