As a result of the strong and fast growth of the Brazilian economy, the private equity and venture capital markets have presented great opportunities for Brazilian and foreign investors.
With a strong and significant practice in this area, throughout the years our firm - Tauil & Chequer in association with Mayer Brown LLP - has acquired a large experience in providing legal advice in connection with private equity transactions, representing both investors and companies receiving investments.
We act in all types of transactions involving private equity funds, such as contributions of funds to companies in any development stage, acquisition or sale of control, leveraged buyouts, recapitalizations, minority investments, joint ventures, tender offers, corporate restructuring, acquisitions, and implementing exit strategies.
We work on all legal aspects of such transactions, in particular negotiating and drafting contracts, investments agreements and shareholders’ agreements, due diligence, procedures with the Brazilian Securities Commission and other regulators, registration of foreign capital, advice on regulatory, environmental, employment and tax matters – among other things.
Our legal advice covers all activities required in order to negotiate, incorporate or form and maintain companies, associations, joint ventures and other vehicles. In addition to advising on the acquisition of shareholding interests, our work includes the subsequent steps, often required in order to consolidate the position of our clients and for the development of the company in question, such as in relation to corporate restructuring and drafting internal policies based on corporate governance principles.
We are alert to market moves to understand our clients’ business and investment objectives and as such we are in a position to adapt sophisticated and pragmatic solutions to increasingly challenging and complex matters.
