Lívia Seabra V. de Lima has extensive experience advising domestic and foreign companies in Brazil and West Africa in regulatory and contractual intricacies within host governments and regulatory agents, drafting and negotiation of E&P contracts, regulatory management of upstream assets and structuring greenfield biofuels and LNG/gas projects.
Lívia has substantial experience in navigating complex legal frameworks and handling development and negotiation of significant business transactions within the energy industry.
Erfahrung
- Represented China National Offshore Oil Corporation (CNOOC) and its Brazilian affiliate in the Pre-salt Bid Rounds carried out by ANP and in the landmark transaction of the Transfer of Rights Surplus Bid Round for acquisition of 5% stake in the Búzios field, with a highly complex contractual and regulatory structure. The total amount paid by the consortium for the acquisition of the E&P rights was R$69 billion. (Latin Lawyer’s 2019 Deal of the Year).
- Represented Eneva in drafting and negotiating the first Brazilian LNG purchase and sale agreements for small-scale LNG project with total investment estimated at R$980 million.
- Represented Karpowership in the licensing process at National Agency of Petroleum, Natural Gas and Biofuels – ANP for LNG importation and regulatory authorization of the FSRU integrating company’s LNG-to-power project in Sepetiba Bay, Rio de Janeiro.
- Advised Eletrobras on the preparation and negotiation of the contracts for its participation in the Power Transmission Auction nº 01/2023-ANEEL, held on 06.30.2023, at the headquarters of Brazil's stock exchange (B3).
- Advised TotalEnergies on the acquisition of approximately US$ 2.2 billion in assets from Petrobras’ divestment plan. The transaction involved assignment of participating interest in Iara and Lapa pre-salt fields (Santos Basin) from Petrobras to TotalEnergies; option of assignment of participation in Perdido Foldbelt (Gulf of Mexico) from Total to Petrobras; sharing of capacity of Petrobras’ regasification terminal; and acquisition of equity participation by Total in Rômulo de Almeida and Celso Furtado power plants (Bahia).
- Represented PetroRecôncavo in the acquisition of Maha Energy, a company which operates the onshore oil and gas exploration fields of Tartaruga (Sergipe) and Tiê (Recôncavo), as well as four exploration blocks, for US$138 million in addition to the expected payment of earn-outs.
- Advised Chevron on the US$450 million sale of its 51.74% operating stake of the Frade Field in the Campos Basin block in offshore Brazil waters to PetroRio.
- Represented Le Caisse de Dépôt et Placement du Québec (CDPQ), GDF International and Engie Brasil Energia S.A. in the acquisition of a 90% shareholding stake in Transportadora Associada de Gás S.A. from Petrobras, with a final and binding offer of $8.6 billion (Latin Lawyer’s 2019 Deal of the Year).
- Represented Hydro’s alumina affiliate in the structuring and development of a project consisting of the importation and regasification of LNG, in partnership with a multinational oil and gas company, for consumption in a refinery and a thermo power plant.
