Tauil & Chequer Advogados advised on the sale of TotalEnergies' fuel distribution operation to SIM Distribuidora

Tauil & Chequer Advogados in association with Mayer Brown advised TotalEnergies to complete the sale of its fuel distribution business in Brazil to SIM Distribuidora, a privately held Brazilian company based in Rio Grande do Sul and one of the five largest distributors in the country.
The transaction included a network of approximately 240 service stations, as well as several storage facilities for petroleum products and ethanol. SIM Distribuidora, part of the Argenta Group, already operated a network of over 500 service stations, in addition to businesses in lubricants and aviation.
The sale is aligned with TotalEnergies’ strategy to optimize its Marketing & Services portfolio by focusing on core markets and regions where it has a significant presence. Despite the sale of the service station network, TotalEnergies will maintain its lubricant production and distribution activities in Brazil, reinforcing its commitment to the local market.
The deal was led by partner Guido Vinci from the Tax practice and included partners Flávia Cavalcanti, also from Tax, and Lilian Toscani from the Corporate and M&A practice. The advisory team also included associates Niandra Soares (Tax) and Stefano Braga (Corporate and M&A).
